General Counsel – Job Description

General Counsel will be Cyteir’s in-house legal executive and will be responsible for overseeing the legal function of the company. Duties of this position cover a range of functions including corporate governance, contracting, securities, compliance, business development support, IP portfolio management, litigation and employment law. General Counsel provides senior management and the board of directors with effective legal counsel on company strategies and their implementation, manages the legal function, and assesses and manages risk. This position will be a participant on the Cyteir Leadership Team.

Responsibilities:

General Counsel will have accountability in the following areas:

  • Corporate Governance
    • Assure the company operates within the bounds of the corporate charter, SEC regulations, local and federal laws
    • Serve as Corporate Secretary ensuring appropriate Board minutes, resolutions and related compliance activities are undertaken
    • Support the effective operation of certain Board Committees
    • Participate in the Disclosure Committee
    • Collaborate on all SEC filings as required for a public emerging growth company (EGC).
    • Document management and document retention
    • Policies, procedures, guidelines and business conduct advisory
    • Compliance auditing, monitoring and training
  • Contracting
    • Work with functional leads to negotiate, implement and manage/maintain contracts with key vendors in research, clinical, and manufacturing functions
    • Implement and manage non-disclosure agreements
    • Assist with the development of standard template language to be used in contracts.
  • Securities issuance process support
  • Business Development support
    • Partner with Business Development on drafting and negotiating global development and commercialization partnership agreements as well as in-licensing agreements
    • Provide legal advice and support for existing complex alliances and partnerships.
    • Help conduct and coordinate due diligence efforts in licensing and M&A transactions
    • Review and manage contractual aspects of NIH grants
  • Regulatory
    • Review all labelling and brand related activities
    • Review all social media postings, press releases, promotional materials, and publications to assure regulatory and promotional compliance
  • Human resources
    • Draft, review and amend employment agreements, employee non-disclosure and confidentiality agreements, severance agreements, and other HR related agreements
    • Provide support on Employment Law issues as needed
  • IP
    • Collaborate with internal staff and IP counsel on managing the IP portfolio
  • Legal issue/risk identification for internal client groups and senior management
  • Outside legal services budgeting and usage management

Additional responsibilities commensurate with experience:

  • Collaborate with internal staff and IP counsel on managing the IP portfolio
  • Provide litigation support as needed, including the drafting and negotiation of settlement agreements.

Qualifications:

  • J.D. with a minimum of 6 years, and preferably 8 or more years, relevant biotechnology/pharmaceutical industry and/or law firm experience.
  • Graduation from an accredited law school. Admission to at least one US state bar and active license (in Massachusetts) to practice law required.
  • Experience advising life sciences companies on business, regulatory, compliance and associated matters. A combination of experience working in-house in industry and private practice is ideal.
  • Prior in-house experience as a lead attorney or General Counsel a plus
  • Experience providing legal advice for a wide range of regulatory matters, including product promotional activities and product pricing, fraud and abuse, stark/anti-kickback issues
  • Dedication to quality and the highest professional standards.
  • Must be a self-starter and quick learner and demonstrate sound judgment.
